1. Acceptance of Terms

1.1. These Terms of Use ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "User"), and SCRAPLA.COM ("we", "us", or "our"), concerning your access to and use of the Service.

1.2. SCRAPLA.COM is an aggregator service that collects, organizes, and presents publicly available information about scrap yards ("Scrap Yards") and prices for various types of scrap metal within Canada. We do not guarantee that our listings are exhaustive or complete.

1.3. By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by all of these Terms of Use. If you do not agree with all of these Terms, you are expressly prohibited from using the Service and must discontinue use immediately.

2. Description of the Service

2.1. Scrap Yard Aggregation: We create and maintain a database of companies operating in the scrap trade industry. This information is sourced from publicly available data and from submissions by company representatives.

2.2. Scrap Price Aggregation: The Service automatically collects and displays scrap prices that companies publish on their official websites and in other public sources.

IMPORTANT INFORMATION: All prices displayed on the platform serve informational purposes only. We do not guarantee their 100% accuracy, completeness, or timeliness. Prices may change frequently. Before making any transaction, you must always verify the current prices directly with the scrap yard.

2.3. The Service acts solely as an informational platform. Any transactions, financial arrangements, and legal agreements are made directly between users (e.g., individuals selling scrap and scrap yards) without our involvement.

3. User Accounts and Company Profiles

3.1. Adding a New Company: You may register with the Service to submit information about your scrap yard. You represent and warrant that you are authorized to provide this information and that all information provided is accurate, current, and lawful.

3.2. Claiming an Existing Profile: If your company is already in our directory (added by us from public sources), you may claim control of it. To do so, you must:

  1. Register an account on the Service.
  2. Send a request to our administration at 100saitov@proton.me, stating the company name and the email address used for registration, and providing proof of your affiliation with the company.
  3. Upon successful verification, we will grant you access to edit your company's profile.

4. User Obligations and Permitted Use

As a User of the Service, you agree not to:

  • Provide false, inaccurate, misleading, or fraudulent information.
  • Use the Service in any way that violates any applicable local, provincial, national, or international law or regulation.
  • Post or transmit any content that is unlawful, fraudulent, defamatory, obscene, or otherwise objectionable.
  • Infringe upon the intellectual property rights (e.g., copyrights, trademarks) of others.
  • Use the Service to send unsolicited commercial electronic messages (spam) or engage in automated data collection (scraping) without our prior written consent.

We reserve the right to terminate or suspend your access to the Service for any violation of these Terms.

5. Intellectual Property Rights

5.1. User-Generated Content: You retain ownership of any content you upload to the Service, such as text, photos, and logos ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable licence to use, reproduce, modify, distribute, and display this content in connection with operating and promoting the Service.

5.2. Our Intellectual Property: The Service and its original content, features, and functionality (including our design, text, and data compilations) are and will remain the exclusive property of SCRAPLA.COM. Our trademarks may not be used in connection with any product or service without our prior written consent.

5.3. Aggregated Data: We may use data collected on our platform in an anonymous and aggregated form for analytical research and statistical reports. Such aggregated data is our intellectual property. If you use our aggregated data in a publication or cite it, you must clearly credit SCRAPLA.COM as the source.

6. Privacy and Personal Information

Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated by reference into these Terms. By using the Service, you consent to the collection, use, and disclosure of your personal information in accordance with our Privacy Policy and applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA), where applicable.

7. Disclaimer of Warranties and Limitation of Liability

7.1. DISCLAIMER OF WARRANTIES: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.2. LIMITATION OF LIABILITY: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

NOTE: SOME JURISDICTIONS, INCLUDING QUEBEC, DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

8. Indemnification

You agree to defend, indemnify, and hold us harmless from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to legal fees), arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; or (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right.

9. Governing Law

These Terms of Use and your use of the Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. (Note: This should be reviewed by your lawyer and changed to the appropriate province).

10. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will notify you of changes by updating the "Last Updated" date of these Terms of Use. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

12. Electronic Communications (CASL Compliance)

By providing your email address to the Service (e.g., by creating an account or claiming a profile), you expressly consent to receive commercial electronic messages (CEMs) from us, including messages related to your account, service updates, and promotions. You may unsubscribe from promotional messages at any time by clicking the "unsubscribe" link in the email or by contacting us at 100saitov@proton.me.

13. General Provisions

13.1. Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and SCRAPLA.COM regarding your use of the Service.

13.2. Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be struck and the remaining provisions will be enforced to the fullest extent under law.
